Terms and Conditions of Sponsorship

  1. The period of sponsorship defined by this Sponsorship Agreement, begins on the Effective Date, which is the date your applications is approved by TFI (or July 1, 2019, whichever is later) and ends on the Termination Date, which is July 1, 2020.

  2. Payment Terms.

    1. The Payment amount is $2,500 (USD) for the Standard Sponsorship or $4,000 (USD) for the Premier Sponsorship. A $300 discount is available to sponsors that sign-up on or before May 31, 2019. Applying this discount, the Standard Sponsorship is $2,200 (USD) and the Premier Sponsorship is $3,700 (USD).

    2. Payment by the sponsor is due in full within 30 days of the Effective Date. TFI will provide an invoice to the sponsor.

    3. Payment can be made by check or, preferably, ACH. ACH payments are preferred. Checks must be mailed to The Fellows Initiative, 20130 Lakeview Center Plaza, Suite 400, Ashburn, Virginia, 20147. Bank details for ACH payments must be coordinated with the TFI finance director.

    4. Payments are nonrefundable. Refunds will be made only in the event that TFI cancels the sponsored event(s). Refunds will be processed by June 30, 2020.

  3. Grant of License.  Sponsor grants to TFI the free, limited, non-exclusive, non-transferable, non-assignable, revocable right and license to use the Sponsor’s name and logo or trademark solely in connection with this sponsorship arrangement and the specific uses listed in the sponsorship package. Upon revocation of this right and license, TFI will immediately cease any use of the Sponsor’s name and logo or trademark.

  4. General terms and conditions.

    1. Acceptance by TFI as a Sponsor does not constitute an endorsement by TFI of Sponsor, its representatives, or its products, services, or messaging.

    2. Each Party agrees not to use the intellectual property of the other Party, including but not limited to logos and other copyrighted materials, without prior written notice and that in any way that would demean, defame, embarrass, diminish or cause any harm to the other Party.

    3. Sponsor will indemnify and hold harmless TFI, its board of directors, officers, and employees from any claims or actions, and all costs and expenses related thereto, arising out of any infringement of trademark, copyright or similar rights by the Sponsor, or a breach by the Sponsor of its obligations under this Agreement.

    4. TFI will indemnify and hold harmless the Sponsor, including its officers, agents, and employees, from any claims or actions, and all costs and expenses related thereto, arising out of any infringement of trademark, copyright or similar rights by TFI, or a breach by TFI of its obligations under this Agreement.

    5. Neither Party will be liable for any indirect, special or consequential damages under this Agreement.

    6. Neither Party will be deemed in default of any provision of this Agreement, or for failure of performance, resulting from acts or events beyond its reasonable control (“force majeure”).

    7. This Agreement will be governed by the laws of the Commonwealth of Virginia, excluding its principles of conflicts of law.

    8. All notices under this Agreement must be in writing to the email addresses provided by the Parties to one another in the course of establishing the Sponsorship arrangement.

    9. This Agreement shall not be construed to create a partnership or joint venture between the Parties and neither Party shall have the right to bind the other Party to any contracts, agreements or other obligations without the express and written consent of an authorized representative of such Party.

    10. If any provision of this Agreement is held to be invalid or unenforceable in any circumstances by a court of competent jurisdiction, the remainder of the provisions of this Agreement will remain in effect.  Waiver of a breach of any provision of this Agreement does not constitute a waiver of any other breach of the same or any other provision of this Agreement. 

    11. This Agreement constitutes the entire agreement between the Parties with respect to the Event referenced above.  Any amendment or modification of this Agreement must be in writing, agreed to by both Parties.

    12. This Agreement may not be assigned by either Party without the prior written consent of the other Party.

    13. This Agreement may be executed in counterparts and forwarded by facsimile or electronic means between the Parties.
